Terms of Service

These Terms of Service ("Terms") govern your use of Leadash ("the Service"), operated by Amit Cohen as a sole proprietorship, transitioning to a US limited liability company ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

We grant you a limited, non-exclusive, non-transferable, revocable license to use Leadash for its intended purpose: qualifying leads and managing conversations from your connected CRM accounts.

5. AI features and content

Leadash uses AI (OpenAI, Google Gemini) to read conversations, score leads, and draft replies. AI outputs are generated by machine learning models and may be inaccurate, incomplete, biased, or inappropriate. You are responsible for reviewing AI outputs before acting on them or sending them to others.

We do not guarantee the accuracy, quality, or appropriateness of AI-generated content. Use your judgment. In Review mode, every AI draft requires your explicit approval. In Auto mode, you set the rules the AI follows and remain responsible for the messages sent under your account.

6. Messaging compliance — your responsibility

Leadash helps you manage conversations and may assist with drafting or sending messages through your connected CRM accounts. You remain solely responsible for compliance with all laws governing your communications, including but not limited to:

Leadash does not independently initiate messages. In Review mode, you approve every outbound message before it sends. In Auto mode, you configure the rules and content the AI follows, and the messages are sent through your own CRM accounts using credentials you provide. You are the sender of record for all communications associated with your account, and you bear legal responsibility for those communications.

We reserve the right to suspend or terminate accounts we reasonably believe are being used to violate communications laws, consent requirements, or third-party platform terms.

7. Your content

You retain ownership of any content you upload to Leadash, including conversations synced from your CRM accounts, notes, and settings ("Your Content"). By using the Service, you grant us a limited license to process, store, and display Your Content as necessary to provide the Service.

We don't claim ownership of Your Content, and we don't use Your Content to train AI models beyond the processing done by AI providers under their API terms (see our Privacy Policy).

When you delete content or close your account, we delete Your Content per our Privacy Policy's retention schedule.

8. Payment and billing

Subscription fees

Leadash is billed monthly. Fees are charged in advance and are non-refundable except as described in the Refund section below. Plan details and pricing are shown at leadash.app.

Payment method

When paid subscriptions launch, payments will be processed by a third-party payment processor (anticipated: Stripe). By subscribing, you authorize us to charge your payment method for the applicable fees.

Price changes

We may change prices with at least 30 days' notice. If you don't agree to the new price, you may cancel before it takes effect.

14-day money-back guarantee

If Leadash doesn't work for your workflow within the first 14 days of your initial paid subscription, email us at hello@leadash.app for a full refund. No questions asked. After 14 days, fees are non-refundable.

Failed payments

If a payment fails, we may suspend your access until the balance is paid. Accounts with unpaid balances for more than 30 days may be terminated and the associated data deleted per our Privacy Policy.

9. Cancellation and termination

You can cancel your subscription anytime from your account settings or by emailing hello@leadash.app. Cancellation takes effect at the end of your current billing period.

10. Changes to the Service

We're actively improving Leadash. We may add, change, or remove features. We'll give reasonable notice of material changes that negatively affect you.

11. Availability and reliability

We work hard to keep Leadash running, but we can't guarantee uninterrupted availability. The Service is provided "as is" and may have downtime, bugs, or errors. Leadash is not currently offered with a formal Service Level Agreement.

12. Third-party services

Leadash connects to or integrates with third-party services, including GoHighLevel, OpenAI, Google Gemini, Twilio, and others. We are not responsible for those services, their availability, their changes, or their terms. Your use of third-party services is governed by those services' own terms, and you are responsible for maintaining your accounts with those providers.

If a third-party service becomes unavailable or changes its terms in a way that affects Leadash, we will notify you but cannot guarantee continued functionality that depends on that service.

13. Intellectual property

Leadash, including all software, designs, logos, text, and other content we create, is owned by us and protected by copyright, trademark, and other laws. These Terms don't transfer any of our intellectual property rights to you. You may not use the Leadash name or logo without our written permission.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE, APPROPRIATE, OR FREE FROM BIAS. YOU USE THE SERVICE AT YOUR OWN RISK.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LEADASH AND ITS OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST DEALS, LOST REVENUE, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the limitation of certain damages, so these limits may not apply to you.

You agree to indemnify, defend, and hold harmless Leadash and its operator from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from:

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict of law principles.

Any dispute arising from these Terms or the Service shall be resolved in the state or federal courts located in New York, USA. You consent to the jurisdiction of those courts.

18. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we'll update the "Last updated" date and notify you by email or in-app notice. Continued use after changes means you accept the updated Terms.
